Terms of Service

1. Agreement to Terms

By accessing or using the Octti AI platform ("Service"), operated by Curble Pty Ltd, operating as Octti AI ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms.

2. Description of Service

Octti AI is an AI agent orchestration platform that enables users to connect, coordinate, and manage AI agents across multiple providers. The Service includes:

  • Multi-agent orchestration and delegation
  • The Nerve Center command surface for monitoring and controlling agents
  • Messaging integrations (Telegram, WhatsApp, Discord, Slack)
  • Agent memory, workflow automation, and federation capabilities
  • A cloud-hosted offering and a self-hosted open-source option

3. User Accounts

You must provide accurate, complete information when creating an account. You are responsible for all activity that occurs under your account. You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behaviour.

4. Bring Your Own Key (BYOK) Model

Octti operates on a Bring Your Own Key model. You provide your own API keys for third-party AI providers (such as Anthropic, OpenAI, and Google). You are solely responsible for:

  • Maintaining the security and confidentiality of your API keys
  • All charges incurred by your API keys through the Service
  • Compliance with each provider's terms of service and acceptable use policies
  • Revoking or rotating keys if you suspect unauthorised access

We encrypt API keys at rest and in transit and never share them with third parties. Keys are passed directly to the relevant AI provider for request execution and are not logged or stored beyond the encrypted vault. However, we cannot guarantee the security of third-party providers and accept no liability for charges or data loss resulting from compromised keys.

5. Relay Token Credits

Certain paid plans include relay token credits that allow you to use AI providers through our pooled API access. Relay credits are non-refundable, non-transferable, and expire at the end of your billing period. Usage beyond your included credits will be charged at the rates published on our pricing page.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Generate, distribute, or store illegal, harmful, or abusive content
  • Attempt to gain unauthorised access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service (except as permitted by applicable open-source licences)
  • Use automated means to access the Service in a manner that exceeds reasonable use

7. Payment and Billing

Paid plans are billed monthly or annually via Stripe. All fees are stated in US dollars unless otherwise specified. You authorise us to charge your payment method on file for all applicable fees. Refunds are handled on a case-by-case basis at our discretion. If payment fails, we may downgrade or suspend your account after a 7-day grace period.

8. Data Ownership and Intellectual Property

You retain all rights to your data, including agent configurations, conversations, workflows, and any content you create using the Service. We do not claim ownership of your data. We may use anonymised, aggregated usage data to improve the Service. The Service itself, including its source code (where not open-source licensed), design, branding, and documentation, is the intellectual property of Curble Pty Ltd (operating as Octti AI).

9. Self-Hosted Deployments

The self-hosted version of Octti is provided under the Apache 2.0 licence. You are responsible for your own infrastructure, security, backups, and compliance when self-hosting. We provide no warranty or support for self-hosted deployments beyond community resources unless you hold a paid support plan.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. You may delete your account through the dashboard settings. We may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted. You may request a data export before deletion.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or the Service shall be resolved in the courts of New South Wales, Australia. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.
